Terms of Service

Welcome to Revstar, a product of Revux Technologies! These Terms of Service (“Terms”) govern your access to and use of the Revstar commerce platform, website, and all related services (“Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

1. Acceptance of Terms

By creating an account or using our Services, you confirm that you:

  • Are at least 18 years old
  • Have the legal capacity to enter into a binding agreement
  • Are not prohibited from using our Services under applicable Nigerian law or the laws of your jurisdiction
  • Will comply with all terms and conditions of this agreement
  • Will use the platform solely for lawful business purposes

2. Platform Description

Revstar is an all-in-one commerce platform designed for businesses in Africa. Our Services include, but are not limited to:

  • Online Storefronts: Create and manage branded online stores with custom domains and platform subdomains
  • Point of Sale (POS): In-person sales processing and receipt generation
  • Inventory Management: Product catalogues, stock tracking, multi-location inventory, and variant management
  • Payment Processing: Accept card payments, bank transfers, and USSD payments via integrated payment gateways
  • WhatsApp Orders: Receive and manage orders placed through WhatsApp
  • Appointment Booking: Schedule and manage service appointments
  • Analytics and Reporting: Sales analytics, traffic insights, and marketing performance tracking
  • Deep Links: Tracked marketing links with click analytics and conversion attribution
  • SMS and Email Campaigns: Marketing communication tools
  • Team Management: Role-based access for team members
  • Multi-Location Support: Manage inventory and operations across multiple business locations

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with reasonable notice where practicable.

3. Account Registration

To use certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorised access to your account
  • Complete KYC (Know Your Customer) verification when required for identity confirmation and regulatory compliance

You may not create multiple accounts for the same business, share your account credentials, or transfer your account to another party without our written consent.

4. Subscription Plans and Billing

4.1 Subscription Tiers

Revstar offers the following subscription tiers:

  • FREE: Basic features with limited access to advanced tools
  • PRO: Enhanced features for growing businesses
  • PREMIUM: Full feature access for scaling businesses
  • ENTERPRISE: Unlimited access with priority support for large operations

Certain features are available only on specific tiers. Feature availability may change as we develop the platform. Current feature inclusions are listed on our pricing page.

4.2 Billing

  • Paid subscriptions are billed in advance on a monthly or annual basis
  • Payments are processed through our integrated payment gateways (Paystack, Flutterwave)
  • Subscriptions auto-renew at the end of each billing period unless cancelled
  • We may change pricing with at least 30 days' advance notice

4.3 Cancellation and Downgrades

  • You may cancel your subscription at any time through your account settings
  • Upon cancellation or expiry, your account will be downgraded to the FREE tier
  • Tier-restricted features will become inaccessible upon downgrade, but your data will be retained
  • Refunds are not provided for partial billing periods, except as required by law

5. Service Charges

Revstar applies a platform service charge on orders processed through the platform. The key terms are:

  • Calculation: The service charge is calculated as a percentage of the order subtotal plus applicable taxes (VAT). Shipping and delivery fees are excluded from the calculation.
  • Rate: The service charge rate varies by subscription tier and is displayed on the pricing page and in your account settings.
  • Who pays: Depending on your configuration, the service charge can be passed on to the customer (added to their order total) or absorbed by the merchant (deducted from your payout).
  • Transparency: The service charge is always clearly shown to both merchants and customers before order confirmation.

6. Payment Processing

Revstar is not a payment processor. All payments are processed by third-party payment providers:

  • Paystack — for card payments, bank transfers, and USSD payments in Nigeria and across Africa
  • Flutterwave — for card payments and alternative payment methods

By using our payment features, you agree to:

  • Comply with the terms of service and acceptable use policies of the applicable payment provider
  • Complete any required payment provider onboarding and verification
  • Accept that payment settlements are subject to the payment provider's settlement schedule and policies

Revstar is not responsible for payment processing failures, chargebacks, or disputes between you and your payment provider.

7. Merchant Responsibilities

As a merchant using our Services, you agree to:

  • Comply with all applicable Nigerian laws and regulations, including consumer protection laws and tax obligations
  • Accurately represent your products, services, and pricing
  • Fulfil orders in a timely manner and maintain adequate stock levels
  • Handle customer complaints, returns, and refunds professionally and in accordance with Nigerian consumer law
  • Obtain necessary business licences and permits for your operations
  • Obtain appropriate consent from your customers for data collection and processing
  • Maintain accurate business and tax records
  • Not misuse marketing features (SMS campaigns, deep links) to send spam or unsolicited messages

7.1 Customer Data

You are the data controller for your customers' personal data. Revstar acts as a data processor on your behalf. You are responsible for:

  • Having a lawful basis for collecting and processing customer data
  • Informing your customers about how their data is used
  • Responding to customer data access, correction, or deletion requests
  • Complying with the Nigeria Data Protection Regulation (NDPR)

8. Prohibited Uses

You may not use our Services to:

  • Sell counterfeit, stolen, or illegally obtained goods
  • Sell regulated substances (pharmaceuticals, alcohol, tobacco) without the appropriate licences
  • Sell weapons, explosives, or related accessories
  • Distribute adult or sexually explicit content
  • Operate gambling, lottery, or pyramid/Ponzi schemes
  • Engage in money laundering, fraud, or other financial crimes
  • Infringe on intellectual property rights of others
  • Distribute malware, viruses, or harmful code
  • Harass, abuse, threaten, or discriminate against others
  • Send spam, unsolicited bulk communications, or phishing messages
  • Scrape, crawl, or otherwise extract data from the platform without permission
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Circumvent subscription tier restrictions or feature gates

We reserve the right to suspend or terminate accounts that violate these prohibitions without notice.

9. Custom Domains

Merchants may connect custom domains to their Revstar storefronts. By using this feature:

  • You represent that you own or have the right to use the domain
  • You are responsible for domain registration, renewal, and DNS configuration
  • Revstar is not liable for domain-related issues, including expiry, misconfiguration, or disputes
  • We may remove custom domain access if your account is suspended or terminated

10. Intellectual Property

10.1 Revstar Property

The Revstar name, logo, website, platform code, and all related content are our intellectual property. You may not use, copy, modify, or distribute these without our written permission.

10.2 Your Content

You retain ownership of content you upload to our platform (product images, descriptions, store branding, etc.). By uploading content, you grant us a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content solely in connection with operating and promoting the Services.

You represent that you have all necessary rights to the content you upload and that it does not infringe on any third-party rights.

11. Platform Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. Our Services may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice where possible)
  • Unplanned outages or technical issues
  • Force majeure events beyond our control
  • Third-party service provider outages (payment gateways, hosting providers)

We do not provide a formal service level agreement (SLA) and are not liable for losses resulting from service interruptions.

12. Termination

12.1 By You

You may terminate your account at any time through your account settings or by contacting us at hello@userevstar.com.

12.2 By Us

We may suspend or terminate your account for:

  • Violation of these Terms or our prohibited uses policy
  • Fraudulent or suspicious activity
  • Non-payment of subscription fees (after a reasonable grace period)
  • Inactivity for an extended period (with prior notice)
  • Legal or regulatory requirements

12.3 Effects of Termination

  • Your right to use our Services will immediately cease
  • We will provide a reasonable period (minimum 30 days) for you to export your data before deletion
  • Active orders and pending settlements will be processed to completion where possible
  • Provisions that should survive termination (limitation of liability, indemnification, dispute resolution) will continue in effect

13. Limitation of Liability

To the maximum extent permitted by Nigerian law:

  • Our Services are provided “as is” and “as available” without warranties of any kind, whether express or implied
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claim arising from or related to these Terms or the Services is limited to the total fees you paid to Revstar in the 12 months preceding the claim
  • We are not responsible for the actions, products, or services of third parties, including payment processors
  • We are not liable for losses resulting from the products or services you sell through our platform

14. Indemnification

You agree to indemnify and hold harmless Revstar, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • The products, services, or content you offer through our platform
  • Any dispute between you and your customers
  • Your failure to comply with applicable laws or regulations

15. Dispute Resolution

Any disputes arising from these Terms or your use of our Services will be resolved as follows:

  • Negotiation: The parties will first attempt to resolve the dispute through good faith negotiation within 30 days
  • Mediation: If negotiation fails, the parties will attempt mediation through a mutually agreed mediator in Lagos, Nigeria
  • Arbitration: If mediation fails, the dispute will be resolved through binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act of Nigeria

Governing law: These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website with a revised “Last updated” date
  • Sending an email notification to your registered email address
  • Displaying a notice on your merchant dashboard

Your continued use of our Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using our Services and close your account.

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Revstar regarding your use of the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
  • Force Majeure: Neither party is liable for delays or failures in performance resulting from events beyond reasonable control, including natural disasters, war, government actions, or internet disruptions.
